1. Agreement to Terms
By accessing or using the Jorpex platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
You must be at least 16 years of age to use the Service. By using the Service, you represent that you are at least 16 years old.
If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" include that organisation.
These Terms constitute a legally binding agreement between you and Jorpex. Please read them carefully before using the Service. We recommend that you save or print a copy of these Terms for your records.
2. Definitions
In these Terms, the following definitions apply:
- "Service" means the Jorpex platform, including the website at jorpex.com, the application at app.jorpex.com, all related APIs, integrations, and documentation.
- "User", "you", or "your" means the individual or organisation accessing or using the Service.
- "Jorpex", "we", "us", or "our" means Jorpex, a company registered in England and Wales.
- "Content" means any data, text, graphics, or other materials uploaded to, generated by, or displayed through the Service.
- "Notification Profile" means the set of criteria (keywords, regions, categories, contract values, and other filters) you configure to receive matched tender notifications.
- "Subscription" means a paid plan that grants access to the Service's features for a specified billing period.
3. Description of Service
Jorpex is a B2B tender notification platform that aggregates public procurement opportunities from sources such as TED (Tenders Electronic Daily), SAM.gov, Contracts Finder, BOAMP, DTVP, TenderNed, and other public procurement portals worldwide. The Service filters these opportunities based on criteria you configure and delivers notifications to your designated channels, including Slack, email, and Microsoft Teams.
The Service uses artificial intelligence to match tender opportunities to your profiles and generate summaries. See Section 11 for important disclaimers about AI-generated content.
The Service is provided on a subscription basis. Different subscription tiers offer varying levels of access, notification volume, and features as described on our pricing page.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable. We will use commercially reasonable efforts to notify you of material changes that may affect your use of the Service.
4. User Accounts
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the confidentiality of your account credentials, including your password
- Accept responsibility for all activities that occur under your account
- Use strong, unique passwords and enable any additional security measures we make available
- Notify us immediately at support@jorpex.com if you become aware of any unauthorised use of your account or any other security breach
- Not share your account credentials with any third party
- Not create more than one account per individual
We reserve the right to suspend or terminate accounts that violate these Terms, that we reasonably believe are being used fraudulently, or that have been inactive for an extended period. We will notify you before suspending or terminating your account where reasonably practicable.
5. Free Trial
Jorpex may offer a free trial period for new users. The following terms apply to free trials:
- Duration: free trials are for 14 days from the date of subscription creation, unless otherwise stated at the time of sign-up.
- Payment method required: you must provide a valid payment method to start a free trial. Your payment method will not be charged during the trial period.
- Automatic conversion: at the end of the trial period, your subscription will automatically convert to a paid subscription at the applicable rate unless you cancel before the trial expires.
- Cancellation during trial: you may cancel at any time during the trial period without charge. Access to the Service will continue until the trial period ends.
- Eligibility: free trials are limited to one per organisation. If you have previously subscribed to or trialled the Service, you may not be eligible for a subsequent free trial.
- Full access: during the trial, you will have access to all features included in your selected plan.
We reserve the right to modify, suspend, or discontinue the free trial offer at any time without prior notice.
6. Subscription and Payment
Access to the Service requires a paid subscription. Current prices are listed on our pricing page. By subscribing, you agree to the following:
- Payment processing: all payments are processed by Stripe, Inc. By providing payment information, you also agree to Stripe's terms of service. Jorpex does not store or have access to your full payment card details.
- Billing cycle: subscriptions are billed in advance on a recurring basis, either monthly or annually, depending on the billing cycle you select at the time of purchase.
- Auto-renewal: subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You will be charged the then-current subscription fee at each renewal.
- Failed payments: if a payment fails, we may retry the charge and/or suspend your access to the Service until payment is successfully processed. We will notify you of any payment failure.
- Taxes: prices are exclusive of VAT, sales tax, and other applicable taxes unless stated otherwise. You are responsible for any taxes associated with your subscription, excluding taxes based on Jorpex's net income.
- Promotional codes: promotional codes or discounts are subject to their specific terms and conditions and may not be combined with other offers unless expressly permitted.
- Price changes: we will give at least 30 days' written notice before any price increase takes effect. The new price will apply from your next billing cycle after the notice period. If you do not agree to a price change, you may cancel your subscription before it takes effect.
7. Cancellation and Refunds
- You may cancel your subscription at any time through the Stripe customer portal accessible from your billing settings, or by contacting us at support@jorpex.com.
- Upon cancellation, you will retain access to the Service until the end of your current billing period. No further charges will be made after the cancellation takes effect.
- We do not provide prorated refunds for partial billing periods.
- Annual subscriptions: if you cancel an annual subscription before the end of the annual term, you will retain access until the end of the prepaid period but will not receive a refund for the remaining months.
- Jorpex may terminate your access with 30 days' written notice. If we terminate your account without cause, we will refund the unused portion of any prepaid subscription fees on a prorated basis.
- Upon termination or expiration of your subscription, your right to access the Service ceases. Your data will be retained in accordance with our Privacy Policy.
8. Service Availability
We use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week. However, you acknowledge that:
- The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or emergency repairs. We will endeavour to provide advance notice of planned maintenance where possible.
- Availability of tender data depends on third-party procurement portals and data sources over which we have no control. Delays, outages, or changes at these sources may affect the timeliness or completeness of notifications.
- We do not guarantee any specific level of uptime or availability unless separately agreed in writing under a service level agreement (SLA).
- The Service's performance may vary depending on your internet connection, device, browser, and other factors outside our control.

9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service
- Scrape, crawl, or use automated means to access the Service beyond its intended use or in a manner that exceeds reasonable request volumes
- Resell, redistribute, sublicense, or commercially exploit access to the Service or any data obtained through the Service without our prior written consent
- Interfere with or disrupt the Service, servers, or networks connected to the Service, including by transmitting viruses, malware, or other harmful code
- Exceed the usage limits of your subscription plan, including the number of notification profiles, notifications, or API calls
- Attempt to gain unauthorised access to any part of the Service, other users' accounts, or related systems or networks
- Use the Service to send unsolicited communications (spam) or to engage in any form of harassment
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
- Use the Service in a manner that could damage, disable, overburden, or impair any Jorpex server or the networks connected to any Jorpex server
Violation of these restrictions may result in immediate suspension or termination of your account without notice or refund. We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions.
10. Data and Tender Accuracy
Tender data displayed through the Service is sourced from public procurement authorities and published databases. You acknowledge and agree that:
- Jorpex is not the originating source of tender data. We aggregate and present publicly available information from third-party procurement portals.
- Tender information is provided "as is". We do not guarantee the completeness, accuracy, timeliness, reliability, or availability of any tender data.
- You are solely responsible for verifying all tender information independently with the issuing authority before submitting any bid or taking any business action.
- Missed tender notifications, whether due to filtering criteria, technical issues, source delays, or data formatting inconsistencies, are not grounds for liability on the part of Jorpex.
- Tender data may be subject to errors, omissions, or delays introduced by the originating procurement authority, intermediary databases, or data processing.
- The absence of a tender from our platform does not mean the tender does not exist. We do not claim to provide exhaustive coverage of all procurement opportunities worldwide.
11. AI-Generated Content
The Service uses artificial intelligence to generate tender summaries, relevance scores, and matching recommendations. You acknowledge and agree that:
- AI-generated content is provided for informational purposes only and should not be relied upon as professional, legal, financial, or business advice.
- AI outputs may contain errors, omissions, inaccuracies, or "hallucinations". You should always review the original tender documents before making any business decisions.
- Jorpex makes no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content.
- Relevance scores and matching results are probabilistic assessments and do not constitute a guarantee that a particular tender is suitable for your organisation.
- We may change, update, or replace the AI models and algorithms used by the Service at any time, which may affect the nature or quality of AI-generated outputs.
12. Intellectual Property
The Service, including its design, source code, software, algorithms, user interface, graphics, logos, trademarks, and all related documentation, is owned by Jorpex and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws of England and Wales and international treaties.
These Terms do not grant you any right, title, or interest in the Service beyond the limited, non-exclusive, non-transferable, revocable right to use it in accordance with these Terms for the duration of your subscription.
Tender data belongs to the originating public authorities. Jorpex does not claim ownership of tender content. The compilation, organisation, and presentation of tender data within the Service is proprietary to Jorpex.
You retain ownership of your configuration data (notification profiles, organisation details, and other content you create within the Service). By using the Service, you grant us a limited licence to use, process, and store your configuration data solely for the purpose of providing the Service to you.
13. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with these Terms or the Service ("Confidential Information"), and to use such information only for the purposes contemplated by these Terms.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party without restriction prior to disclosure; (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (d) is rightfully obtained from a third party without restriction.
Either party may disclose Confidential Information to the extent required by law, regulation, or court order, provided that the disclosing party gives the other party reasonable advance notice where permitted by law.
14. Third-Party Services and Integrations
The Service integrates with and relies upon third-party services, including but not limited to Slack, Microsoft Teams, email providers, Stripe, and various public procurement data sources. You acknowledge and agree that:
- Your use of third-party services is subject to the terms and conditions of those services. Jorpex is not responsible for the availability, accuracy, or conduct of any third-party service.
- We are not liable for any loss or damage arising from the acts or omissions of third-party service providers, including but not limited to service outages, data loss, or changes to their APIs or functionality.
- You are responsible for maintaining your integrations with third-party services and ensuring that the necessary permissions and authorisations are in place for the Service to function correctly.
- Third-party services may change, limit, or discontinue their offerings at any time, which may affect the functionality of the Service. We will use reasonable efforts to adapt to such changes but cannot guarantee uninterrupted compatibility.
15. Publicity and Customer References
By creating an account and using the Service, you grant Jorpex a non-exclusive, royalty-free, worldwide licence to use your company name, trade name, trademark, and logo ("Customer Marks") for the following purposes:
- Displaying your company name and/or logo on the Jorpex website, including on customer logo sections, case study pages, and landing pages, to identify you as a Jorpex customer.
- Including your company name and/or logo in marketing and promotional materials, including presentations, sales collateral, and social media posts.
- Referencing you as a customer in press releases, investor communications, and other public-facing materials.
This licence does not permit Jorpex to imply endorsement, sponsorship, or affiliation beyond the customer relationship unless separately agreed in writing. We will use your Customer Marks in accordance with any brand guidelines you provide to us.
Opt-out: you may revoke this licence at any time by sending a written request to legal@jorpex.com. We will remove your Customer Marks from our materials within 30 days of receiving your request. Revocation of this licence does not affect materials already distributed or published prior to the effective date of revocation.
16. Feedback and Suggestions
If you provide Jorpex with any feedback, suggestions, ideas, feature requests, or other input regarding the Service ("Feedback"), you agree that:
- Jorpex may freely use, copy, modify, distribute, and incorporate your Feedback into the Service or any other product or service without any obligation to you, including without payment of royalties or any other consideration.
- You waive any and all rights you may have in such Feedback, including moral rights.
- Feedback is provided on a non-confidential basis, and Jorpex is under no obligation to keep Feedback confidential or to implement any Feedback.
17. Indemnification
You agree to indemnify, defend, and hold harmless Jorpex, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of a third party, including intellectual property rights
- Any content or data you provide to the Service
- Your violation of any applicable laws, rules, or regulations
We will provide you with reasonable notice of any such claim and will cooperate with your defence at your expense.
18. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, JORPEX DOES NOT WARRANT THAT:
- The Service will be uninterrupted, timely, error-free, or secure
- Any defects in the Service will be corrected
- Tender information will be complete, accurate, or delivered on time
- The Service will meet your specific requirements or expectations
- The results obtained from the use of the Service, including AI-generated content, will be accurate or reliable
- The quality of any information obtained through the Service will meet your expectations
You use the Service at your own risk and discretion.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Jorpex's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to Jorpex in the 12 months immediately preceding the event giving rise to the claim.
- In no event shall Jorpex be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, lost revenue, lost business opportunities, loss of data, loss of goodwill, cost of procurement of substitute services, or business interruption, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Jorpex has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under the laws of England and Wales.
20. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay arises from circumstances beyond the party's reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or sanctions, strikes or labour disputes, power failures, internet or telecommunications failures, cyberattacks, failures of third-party services or infrastructure, or changes in applicable law or regulation. The affected party shall give prompt notice to the other party and shall use reasonable efforts to mitigate the effects of the force majeure event.
21. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice of the dispute, either party may bring proceedings in the courts of England and Wales, which shall have exclusive jurisdiction.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from any court of competent jurisdiction where necessary to protect its rights or property.
22. Changes to Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. For material changes, we will provide at least 30 days' notice by email or through a prominent notice within the Service.
The revised Terms will be effective when posted. The "Last updated" date at the top of these Terms indicates when the most recent revisions were made. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
23. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
24. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Jorpex with respect to the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Jorpex relating to the Service.
25. Waiver
The failure of Jorpex to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Jorpex. No single or partial exercise of any right or remedy shall preclude further exercise of that or any other right or remedy.
26. Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without Jorpex's prior written consent. Jorpex may assign its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, corporate reorganisation, or by operation of law, without your consent. Any attempted assignment in violation of this section shall be null and void.
27. Notices
All notices from Jorpex to you will be sent to the email address associated with your account. You are responsible for keeping your email address up to date. Notices are deemed received when sent to the email address on file, whether or not actually read.
All notices from you to Jorpex should be sent to the applicable email address listed in the Contact section below. Notices to Jorpex are deemed received when actually received by us.
28. Electronic Communications
By using the Service and providing your email address, you consent to receiving electronic communications from Jorpex, including account notifications, service updates, security alerts, billing communications, and other information related to your use of the Service. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
